1. Introduction
This Agreement contains the terms on which the Services are provided to you.
Please read this Agreement in full before you start using the Services; it contains important information about the Issuer and OKX, the Services provided to you, the circumstances under which this Agreement may be changed or ended, what to do and how to access help from OKX and the Issuer in the event there is a problem as well as other relevant information.

By applying for, activating or using the Card (including adding the Card to Apple Pay or Google Pay, or using the Card to make a purchase) you confirm that you accept and agree to this Agreement (including any updates to this Agreement).
Important: The Issuer is not a subscriber to the ePayments Code.
A bespoke liability framework applies to unauthorised transactions (see section 12). The Card is not a credit card, bank account, or deposit account. The stablecoins held in your Wallet are not deposits and are not protected by the Financial Claims Scheme or any government guarantee. There is no statutory cooling-off period for this product under the Australian Corporations Act 2001 because it is a non-cash payment facility. This Agreement contains general information only and does not take into account your objectives, financial situation or needs.
2. Card issuer and how to contact them
The Card is issued by Bano Pty Ltd (ABN 93 643 260 431), the holder of Australian Financial Services Licence No. 536984 (the Issuer). The Issuer is licensed by Mastercard to issue Cards under this programme and is responsible for Card issuance, settlement of Card transactions, and compliance with applicable Mastercard Rules. The Issuer can be contacted at Level 13, 2 Bulletin Place, Sydney NSW 2000. The Card is distributed and processed by OKX.
OKX provides distribution, processing and customer service for the Card on behalf of the Issuer. Your contractual relationship for the Card is with the Issuer, not OKX. You can contact OKX by:

3. Glossary
Activation means the activation of the Card to enable you to use it.
Agreement means this OKX Cardholder Agreement, as amended from time to time.
Card means the virtual Mastercard non-cash payment facility issued to you under this Agreement.
Card Services means any services provided by the Issuer or OKX (or by service providers on their behalf) in connection with the Card.
Exchange Rate means (a) the foreign exchange rate applied by Mastercard to convert the transaction amount from the merchant's local currency to USD; and (b) the conversion rate applied by OKX to convert USD to the equivalent stablecoin amount (or vice versa for refunds), which includes a spread over prevailing market rates.
Identifier means information that you know but are not required to keep secret and which you must provide to perform a transaction (for example, a card number).
Issuer means Bano Pty Ltd (Australian Business Number 93 643 260 431, Australian Financial Services Licence no. 536984).
Mobile Wallet means Apple Pay (provided by Apple Inc.) or Google Pay (provided by Google LLC), or such other mobile wallet as OKX may support from time to time.
Negative Balance means a situation where the balance of your Wallet falls below zero as a result of a settlement amount exceeding the authorised amount for a transaction.
OKX means Aux Cayes FinTech Co. Ltd., operator of the OKX platform.
OKX App means the mobile application provided by OKX through which you can access and manage your Card and Wallet.
OKX Platform Terms means the terms of service governing your OKX account, as amended from time to time.
Pay Passkey means the biometric key set when you create your OKX Pay account, used to authorise transactions in your Wallet.
PIN means the personal identification number used to access Card Services at card-present terminals.
Personal Information means the information that the Issuer, OKX and their respective agents collect from you in connection with the Card.
Proscribed Person means a person proscribed under the Charter of United Nations Act 1945 (Cth), a person listed on any sanctions or proscribed persons list published by the Australian Government or a foreign government, or a person acting on behalf of such a person or the relevant governmental authorities in your Relevant Jurisdiction.
Relevant Jurisdiction means the jurisdiction in which you are resident.
Security Codes means the Card PIN, Pay Passkey and all passcodes and passwords used to access Card Services.
Security Details means the information given by you when applying for the Card or during Activation for the purpose of verifying your identity.
Security Requirements means the security obligations set out in this Agreement (section 11).
Services means the Card, Wallet, Card Services and other services provided by the Issuer or OKX to you in connection with the Card.
TMD means the Target Market Determination for the Card.
Unauthorised Transaction means a transaction not authorised by you, but does not include any transaction carried out by you or by anyone performing the transaction with your knowledge and consent. USD means the lawful currency of the United States of America.
Wallet means your OKX Pay Wallet, a 2-of-2 Account Abstraction (AA) smart contract wallet on the X Layer blockchain network that holds the stablecoins supported from time to time as listed in the OKX App, used to fund Card transactions.
Website means www.okx.com
We, Us, Our means the Issuer.
You, Your means the cardholder to whom the Card is issued.
Interpretation
Unless otherwise specified, all monetary amounts in this Agreement are in US dollars.
References to days, times or periods of time in this Agreement are reckoned according to Australian Eastern Standard Time.
4. Getting started
4.1 Eligibility
You are the individual to whom the Card is issued ("Cardholder", "you"). The Card is issued to non-Australian resident cardholders only. The Card is available only to persons who are aged 18 or over who hold an active, verified OKX account. The Card is for personal use only.
You are solely responsible for ensuring your use of the Card complies with all applicable laws in your Relevant Jurisdiction. Eligible countries are determined by OKX's eligibility criteria and applicable Mastercard Rules.
The Card is not available to Australian residents (as they are subject to a specific Product Disclosure Statement in relation to the use of the Card). If you become an Australian resident, you must notify OKX immediately as you may be required to surrender the Card.
4.2 Verification
Before the Issuer can issue the Card to you, you must:
(a) complete the Issuer's or OKX's identity verification (KYC) process and provide all information reasonably requested;
(b) satisfy the Issuer's or OKX's anti-money laundering and counter-terrorism financing (AML/CTF) requirements;
(c) hold valid identification acceptable to the Issuer or OKX; and
(d) provide accurate, current and complete information.
Continued use of the Card is subject to identity verification, sanctions screening, and ongoing AML/CTF monitoring in accordance with applicable law (including, without limitation, in your Relevant Jurisdiction) and Australia's Anti-Money Laundering and Counter-Terrorism Financing Act 2006, and the OKX Platform Terms. The Issuer or OKX may request additional information from you at any time for compliance purposes.
4.3 The information you provide must be accurate
You must notify OKX promptly if any of your information changes. The Issuer or OKX may refuse any application at its sole discretion on lawful grounds, including where the Issuer or OKX cannot verify your identity or your profile is inconsistent with the customer acceptance criteria.
4.4 Activation
To activate the Card, you must:
activate your OKX Pay account;
apply for the Card in the OKX App;
transfer supported stablecoins to your Wallet; and
add the Card to Apple Pay or Google Pay.
The Card is issued as a virtual card only. No physical card is issued. Your card details (card number, expiry date, CVV) are viewable in the OKX App. The Card is the property of the Issuer. You must not transfer or permit another person to use the Card.
5. About the Card
5.1 Description
The Card is a virtual Mastercard non-cash payment facility. It can be used to make purchases wherever Mastercard is accepted, subject to network, merchant and regulatory restrictions. The Card is accessed via Apple Pay or Google Pay.
The Card is not a credit card, bank account, or deposit account. The Card does not and cannot hold cryptocurrency or digital assets; all Card transactions are authorised and settled in fiat currency in accordance with Mastercard Rules.
The Card cannot be used for ATM withdrawals, cash-out, or manual (non-electronic) transactions.
5.2 How Your Card Works
Transaction Authorisation and Pre-Authorisation
Each Card transaction is authorised in real time against your available Wallet balance. A hold is placed on the corresponding amount pending settlement. Pre-authorisation holds (e.g. for hotels, car rentals, or fuel) may reduce your available balance by an amount greater than the final settled amount; any excess hold will be released upon final settlement or after the period specified by the relevant merchant or Mastercard Rules.
Settlement
Following Mastercard network clearance, your Wallet will be debited for the settled transaction amount. The settlement of digital assets in your Wallet is governed solely by the Pay Wallet Terms (https://www.okx.com/help/terms-of-service). The amount debited may differ from the amount authorised due to exchange rate movements, merchant adjustments, or reversals.
5.3 Risks
You acknowledge the digital asset risks given the Card is funded by stablecoins held in your Wallet, including USDC, USDT and USDG. Although these stablecoins are designed to maintain a 1:1 peg with the US dollar, you acknowledge that there is a risk that stablecoin may trade above or below one US dollar. If a stablecoin loses its peg, the purchasing power of the assets in your Wallet may be reduced. In extreme circumstances, a stablecoin could become worthless.
Your Wallet operates on the X Layer blockchain network using smart contract technology. There is a risk that the smart contract or network may experience errors, vulnerabilities, failures or security breaches.
When you use the Card to make a purchase, stablecoins in your Wallet are converted to fund the transaction. This conversion may be treated as a disposal of a digital asset for tax purposes, including capital gains tax, in your Relevant Jurisdiction. You should therefore obtain independent tax advice. Neither the Issuer nor OKX makes any representation regarding the tax consequences of using the Card. Any conversion of digital assets held in your Wallet is performed by OKX.
The Issuer is not involved in, and bears no responsibility for, any digital asset conversion performed by OKX.
5.4 What happens if there are insufficient funds?
If your combined stablecoin balance is insufficient to cover a transaction, the transaction will be declined.
5.5 How transactions are funded
When you make a purchase:
(a) you tap or enter your card details at the merchant;
(b) the merchant captures the transaction in local currency;
(c) Mastercard converts the amount to USD at the Mastercard exchange rate;
(d) OKX converts USD to stablecoins at the prevailing rate plus a 0.10% spread; and
(e) the stablecoin amount is deducted from your Wallet in the priority order you have set.
The final stablecoin amount debited may differ from the initially authorised amount due to exchange rate movements between authorisation and settlement. The conversion rate is recorded in your transaction history in the OKX App.
5.6 Stablecoins in your Wallet
Your Wallet currently supports USDC, USDT and USDG. You can set the priority order in which stablecoins are used for transactions. OKX may add or remove supported stablecoins from time to time; where a change is materially adverse, section 14 applies.
5.7 Card Security
When available, your Card will be automatically registered for the Mastercard Securecode service (also known as 3d Secure or 3DS), which is a service designed to provide you additional protection when you shop online. In addition, OKX may independently require you to verify a transaction via the OKX App based on its own risk assessment, regardless of whether the merchant has requested 3DS. The Mastercard Securecode service is provided to you by OKX and not the Issuer.
6. Use of the Card
6.1 How to authorise a payment
You can authorise a payment by tapping or inserting the Card via Apple Pay or Google Pay at a contactless terminal, or by entering your card details for online purchases. When using the Card at POS terminals, select "credit" (not cheque or savings) - this does not mean you are accessing credit.
For certain transactions, you may be required to enter your PIN, complete 3D Secure (Mastercard Securecode) verification, or approve the transaction via the OKX App.
6.2 Situations where the Issuer or OKX may refuse to authorise a transaction
The Issuer or OKX may refuse, delay or block a transaction where:
(a) you have insufficient stablecoin balance in your Wallet;
(b) the transaction exceeds your applicable limits;
(c) there is a suspicion the transaction involves fraud, money laundering, terrorism financing or other illegal activity;
(d) there is a requirement to do so by law, a regulator, or the Mastercard Scheme Rules;
(e) you are or are suspected to be a Proscribed Person;
(f) you have breached this Agreement; or
(g) there is a requirement to do so for security reasons or to protect you.
Neither the Issuer or OKX will be liable for any loss you suffer as a result of a refused transaction, except where the Issuer or OKX have acted unreasonably.
6.3 Prohibited use
The Card must not be used for:
(a) gambling, betting, lottery, casino gaming, or online gambling;
(b) any illegal activity (including, without limitation, in your Relevant Jurisdiction);
(c) any use prohibited by Mastercard Rules, applicable law, or the OKX Platform Terms; or
(d) transactions at restricted merchant categories (i.e. gambling, betting, lottery, casino gaming, money transfer services, quasi-cash transactions, and such other categories as determined by OKX from time to time and displayed in the OKX App or the OKX Terms of Service.
Transactions at restricted merchants will be declined.
You warrant that your use of the Card is for lawful purposes only (including, without limitation, in your Relevant Jurisdiction).
6.4 Pre-authorisations
Some merchants (such as hotels, car rental companies, or restaurants for tips) may place a pre-authorisation hold on your Wallet. The held amount may differ from the final transaction amount. Pre-authorisation holds are released when the final transaction is settled or, if not settled, within the timeframe set by Mastercard.
6.5 Limits on the Card
The following limits apply:
(a) Contactless transactions below prescribed monetary thresholds in certain currencies and jurisdictions may be processed without a PIN;
(b) Transactions above prescribed monetary thresholds in certain currencies and jurisdictions may require in-app verification (you will receive a push notification to approve); and
(c) The prescribed thresholds, currencies and jurisdictions referred to in (a) and (b) above, and the daily and per-transaction limits, are determined by OKX and are displayed in the OKX App.
Limits and conditions may change for security or regulatory reasons. You will be notified of changes where practicable.
7. Fees, exchange rates and charges
7.1 Fees
OKX applies a conversion spread of 0.10% when converting the USD settlement amount to stablecoins. This applies to all transactions regardless of location or currency in which they are denominated. This is the only fee charged by OKX.
No card issuance, replacement, or refund processing fees apply.
Some merchants may impose their own surcharge. Fees may change in accordance with section 14.
These fees may be deducted from your Wallet as soon as they are incurred. Unless otherwise specified, all fees will be deducted in the same stablecoin used to fund the relevant transaction. If there are insufficient funds in that stablecoin to pay such fees, then OKX will automatically deduct funds from other stablecoins in the order of priority set by you in the OKX App. Any such deduction of funds may be subject to a fee.
7.2 Exchange rates
Each transaction involves two independent conversions:
(a) Local currency to USD by Mastercard (at the Mastercard exchange rate); and
(b) OKX then converts the USD settlement amount to the equivalent in stablecoins at the prevailing conversion rate, which includes a spread. This conversion applies to all Card transactions.
Neither rate is set or controlled by the other party. Rates are determined independently and may change between authorisation and settlement. As a result, the final stablecoin amount debited from your Wallet may differ from the amount shown at authorisation.

7.3 Foreign currency transactions
All Card transactions are settled by Mastercard in USD, regardless of the currency of purchase. Some merchants offer Dynamic Currency Conversion (DCC), allowing you to pay in a different currency. Accepting DCC may increase your cost. Consider declining merchant conversion to avoid additional margins.
8. Expiry
Your Card expires 5 years from the date of issue. The expiry date is displayed in the OKX App. The Card cannot be used after it has expired.
If your Card details are compromised, the Issuer can reissue a new virtual Card immediately at no charge. The new Card will have a different card number and can be added to Apple Pay or Google Pay straight away.
Any Wallet balance remains available after Card expiry or replacement.
9. Cashback
You may be eligible to receive cashback on qualifying Card purchases. Cashback is paid in USDG to your Wallet. Cashback rates and eligibility criteria are set by OKX and may change from time to time. The full terms and conditions of the cashback will be provided once eligibility is confirmed.
OKX may vary or discontinue the cashback program at any time.
10. Communicating with you
The Issuer or OKX may give notices to you by post, email, in-app notification, or by publishing on the OKX website. Electronic communications are taken to be received on the day transmitted. You may be sent SMS alerts about your Card and Card activity. You can opt out of SMS alerts at any time by replying "STOP" to the number indicated. Telephone calls may be recorded for security and service improvement purposes. Your transaction history is available in the OKX App. No paper statements are issued.
11. Keeping your Card safe
11.1 Steps you must take
You must keep the Card, PIN, Pay Passkey and all Security Codes secure.
You must not:
(a) allow anyone else to use the Card;
(b) disclose any Security Code to anyone;
(c) record any Security Code where it may be accessed by others without making a reasonable attempt to protect it; or
(d) act carelessly in failing to protect the security of a Security Code.
You are responsible for securing the device on which your Mobile Wallet is installed and all associated credentials (such as passcode, Face ID/Touch ID, iCloud or Google Account credentials). If your device is lost, stolen or compromised, you must immediately remove the Card from your Mobile Wallet and lock the Card in the OKX App.
You must notify OKX immediately via the OKX Help Center upon becoming aware of:
(a) any loss, theft, or compromise of your Card or Card credentials;
(b) any unauthorised transaction on your Card Account; or
(c) any error in your transaction history. Failure to notify OKX promptly may affect your rights in respect of any resulting loss.
11.2 How to notify OKX if there is a problem
If your Card details are compromised or you suspect unauthorised use, notify OKX immediately by:
locking your Card in the OKX App;
contacting the OKX Help Center; or
using in-app chat (available 24/7).
11.3 How you are contacted if there is a problem
If the Issuer or OKX detect suspicious activity on your Card, you may be contacted via the OKX App, push notification, email or phone to verify a transaction. Your Card may be temporarily suspended pending verification.
11.4 PIN and Pay Passkey
Your Card has a PIN for use at card-present terminals. You must also set a Pay Passkey (biometric key) when you create your OKX Pay account. The Card may be disabled after 3 incorrect PIN entries. Contact OKX to reactivate (usually 24 hours).
The Card is registered for Mastercard Securecode (3DS) where available. OKX may also require in-app verification based on its own risk assessment.
12. Unauthorised or incorrectly executed transactions
This section sets out the liability framework that applies if a transaction is made on your Card without your authorisation.
When you are not liable
You are not liable for losses resulting from Unauthorised Transactions where:
(a) it is clear that you have not contributed to the loss;
(b) the loss was caused by the fraudulent or negligent conduct of either the Issuer's or OKX's staff, agents or network participants;
(c) the transaction occurs after you notified OKX that the Card has been misused, lost or stolen;
(d) the transaction was made before you received the Card or PIN; or
(e) the Card was forged, faulty, expired or cancelled.
When you are liable
You are liable where the Issuer or OKX can prove on the balance of probability that you contributed to the loss through your own fraud or by failing to comply with the Security Requirements. Your liability is limited to:
(a) actual losses which occur before notification; and
(b) cannot exceed any applicable daily transaction limit or your Wallet balance.
Delayed notification
If you unreasonably delay notification, you are liable for losses occurring between the time you became aware (or should reasonably have become aware) of the security compromise and the time you notified OKX. The same caps apply.
Where a PIN was required
Where a PIN was required to perform an Unauthorised Transaction and no other provision of this section applies, your liability is the lesser of:
(a) USD 150;
(b) the actual loss at the time the Issuer or OKX are notified (limited by applicable daily or period transaction limits); or
(c) the balance of your Wallet.
13. Refunds
If a merchant processes a refund to your Card, the refunded amount is converted back to stablecoins and credited to your Wallet. The dual conversion applies in reverse (USD to stablecoins at the prevailing rate plus spread).
Refunds typically take 5 to 10 business days to appear in your Wallet, depending on the merchant and the Mastercard network. Neither the Issuer or OKX are responsible for delays caused by merchants.
If you have a dispute with a merchant about goods or services purchased with the Card, you must take reasonable steps to resolve it directly with the merchant first. If the merchant does not resolve the dispute, then contact OKX via the OKX Help Center and OKX will determine whether a chargeback can be raised under the Mastercard Scheme Rules. Time limits apply.
Mastercard Scheme Rules impose time limits after the expiry of which OKX's ability to dispute a transaction on your behalf may be lost. You should contact OKX as soon as possible.
14. Our right to make changes to this Agreement
14.1 Changes the Issuer or OKX may make immediately
The Issuer or OKX may implement changes to this Agreement without prior notice where necessary:
(a) to comply with any change in law, regulation, code of practice, or regulatory guidance;
(b) for security reasons;
(c) to prevent or respond to fraud; or
(d) to reflect any decision of a court, ombudsman or regulator.
14.2 Changes the Issuer or OKX may make upon notice
Materially adverse changes will only take effect 14 days after either the Issuer or OKX have given you notice by posting to the OKX website and/or via the OKX App. A change is materially adverse if it:
(a) increases a fee or charge, or introduces a new fee;
(b) reduces a significant benefit of the Card;
(c) imposes a new or more onerous obligation on you; or
(d) increases your potential liability.
Non-material changes take immediate effect on posting to the OKX website and OKX App.
14.3 Your options
If you do not accept a change, you may close your Card. Continued use of the Card after the effective date constitutes acceptance of the updated terms.
15. Our right to suspend access to the Services and/or close the Card
The Issuer or OKX may cancel or suspend the Card and/or terminate this Agreement with at least 14 days' notice. The Issuer or OKX may act immediately and without notice if:
(a) there is suspicion the Card has been or is likely to be misused;
(b) you breach this Agreement and the Issuer or OKX reasonably consider the breach is material;
(c) there is suspicion of illegal activity (such as fraud or criminal activity);
(d) where required by applicable law (including, without limitation, in your Relevant Jurisdiction), Mastercard Rules, or for compliance, risk, or security reasons, or if the Card programme is discontinued; or
(e) you gave false, inaccurate or incomplete information.
If your Card is suspended, OKX (and in some cases, the Issuer) will investigate as soon as reasonably practicable and release the suspension if no continuing ground exists. Any remaining Wallet balance will be available for withdrawal to your OKX exchange account.
The Issuer or OKX may close a Card that has had no transaction activity for a continuous period of 12 months after giving you at least 14 days' written notice.
Neither the Issuer nor OKX is liable for losses arising from any such action, except as required by applicable law.
16. Closing your Card and ending this Agreement
You may close your Card and end this Agreement at any time by:
(a) using the close function in the OKX App; or
(b) contacting OKX customer service via the OKX Help Center.
Once closed, the Card cannot be used for any further transactions. Any remaining Wallet balance will be available for withdrawal to your OKX exchange account. Termination does not affect any rights or obligations accrued prior to the termination date. Pending Card transactions will be settled in accordance with Mastercard Rules, and any outstanding digital asset obligations remain governed by the OKX Platform Terms.
17. Wallet
17.1 Not a deposit
The Wallet does not constitute a deposit with the Issuer or OKX. You do not have depositor protection under the Australian Financial Claims Scheme or any Australian government guarantee. You do not earn interest on your Wallet balance.
17.2 Negative Balance
A Negative Balance may arise if a final settlement amount exceeds the authorised amount (for example, due to exchange rate movements).
If this occurs:
(a) your Card and Wallet will be frozen until the balance is restored to zero or positive;
(b) the Negative Balance constitutes a debt payable by you to the Issuer; and
(c) subject to law, OKX may set off the amount owing against any balance or asset you hold with OKX.
You must transfer sufficient stablecoins to your Wallet to clear the Negative Balance as soon as practicable.
17.3 Supported assets
OKX may add or remove supported stablecoins from time to time. Where a change is materially adverse, section 14 applies.
18. Liability
18.1 No Issuer or OKX liability for losses
The Issuer and OKX will not be liable to you for any loss due to:
(a) events outside the Issuer's or OKX's reasonable control;
(b) any failure by you to provide correct information;
(c) any indirect, special or consequential losses;
(d) any dispute between you and a merchant;
(e) your breach of any law;
(f) failure to comply with any law or regulatory requirement;
(g) any other damages that may be incurred by you under this Agreement; or
(h) anything specifically excluded elsewhere in this Agreement, except to the extent the loss is caused by the Issuer's or OKX's fraud, negligence or wilful misconduct (including that of the Issuer's or OKX's officers, employees, contractors or agents).
18.2 No Issuer or OKX liability generally
To the maximum extent permitted by applicable law (including, without limitation, in your Relevant Jurisdiction) each of OKX and the Issuer:
(a) is not liable for merchant disputes, declined transactions, exchange rate losses, or indirect or consequential losses;
(b) bears no liability for Card transactions, authorisation decisions, exchange rates, or settlement outcomes under this Agreement; and
(c) total aggregate liability under this Agreement shall not exceed the lesser of (i) total value of Card transactions in the one month preceding the relevant claim and (ii) $5,000.
Neither the Issuer nor OKX is responsible for the quality, delivery, legality, or any other aspect of goods or services purchased with the Card.
18.3 System failures
You are not liable for any loss caused by the failure of a system or equipment provided by any party to a shared electronic network to complete a transaction in accordance with your instructions. If you were aware (or should reasonably have been aware) that the system was unavailable or malfunctioning, the Issuer's or OKX's responsibility is limited to correcting errors and refunding charges imposed as a result.
18.4 Consumer Law
Nothing in this Agreement excludes, restricts or modifies any guarantee, condition or warranty implied by any consumer laws in your Relevant Jurisdiction. Where the Issuer and/or OKX are liable for a breach of this Agreement, liability is limited to the supplying of the services again or the payment of the cost of having the services supplied again.
19. Law governing this Agreement
This Agreement is governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales.
20. Complaints and dispute resolution
If you have a complaint, you can contact OKX via the OKX Help Center
OKX will provide a response within the timeframe required by applicable law in your jurisdiction. Where applicable law in your jurisdiction provides for referral to an external dispute resolution body or regulatory ombudsman, nothing in this Agreement limits your right to make such a referral.

The Issuer will acknowledge your complaint promptly and provide a written outcome within 30 days. If you are not satisfied with the Issuer's response, you may lodge a complaint with the Australian Financial Complaints Authority (AFCA). AFCA's jurisdiction to consider complaints from non-Australian residents is subject to AFCA's Rules and a sufficient connection with Australia existing. See www.afca.org.au for details. Time limits may apply.
21. Privacy and data protection
The Issuer and OKX each act as independent data controllers in respect of personal data processed in connection with the Card, in accordance with their respective privacy policies and applicable law. The Issuer handles your personal data in accordance with the Australian Privacy Act 1988 and the Australian Privacy Principles.

By using the Card, you consent to the collection, use, and disclosure of your personal information for the purposes of Card issuance, compliance, fraud prevention, and dispute resolution. The Issuer and OKX may keep Personal Information that is necessary for legal and compliance purposes after the expiry of the Card. You are entitled to access and correct your Personal Information.
The Issuer may collect and disclose information about you as required by the Australian Anti-Money Laundering and Counter-Terrorism Financing Act 2006, the Australian Corporations Act 2001, FATCA and CRS. Your information may be disclosed to third parties for Card Services, compliance, fraud prevention and legal purposes. It may be disclosed overseas (including the United States of America) with adequate safeguards.
22. Other legal terms
22.1 Assignment
The Issuer may transfer its rights and obligations under this Agreement to any other person or business without your consent. If this happens, the transferee assumes all of the Issuer's rights and obligations. The Issuer will notify you in writing as soon as reasonably practicable.
22.2 Third parties
Nothing in this Agreement confers on any third party any benefit or the right to enforce any terms of this Agreement.
22.3 Mobile Wallet
The Card must be added to a Mobile Wallet (Apple Pay or Google Pay) to be used. Neither Apple nor Google is the Card issuer. When you add the Card to a Mobile Wallet, a tokenised number is created. OKX may refuse, suspend or delete a token at any time (for example, in cases of suspected fraud, account closure, or where required by law or Mastercard Scheme Rules).
You are solely responsible for securing the Mobile Wallet-enabled device and associated credentials. If the device is lost, stolen or compromised, you must immediately remove the Card token from the Mobile Wallet and lock the Card in the OKX App.
22.4 General Notice & Non-Solicitation
These terms and any associated documentation (collectively, the "Information") are provided for informational purposes only. The Information does not constitute an offer to sell, a solicitation of an offer to buy, or a recommendation of any cryptoasset, financial instrument, or payment service.
The Card and associated services are offered exclusively by the Issuer, an offshore entity operating under the laws of Australia. This offer is not directed at, or intended for distribution to or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to local law or regulation.
22.5 Cross-Border & Offshore Nature of the Offer
By accessing this Information or applying for the Card, you acknowledge and agree that:
You are initiating contact with OKX and the Issuer entirely on your own exclusive initiative (reverse solicitation).
The services are provided from an offshore jurisdiction, and you may not benefit from the consumer protection laws, deposit insurance schemes, or regulatory oversight available in your home country.
You are solely responsible for ensuring compliance with all applicable laws, foreign exchange restrictions, and tax obligations in your jurisdiction of residence.
22.6 Jurisdictional Restrictions (Prohibited Persons)
The Card is not available to residents of certain jurisdictions. This offer is expressly not directed to, and applications will not be accepted from, individuals or entities located in, or citizens of:
The United States of America (including its territories).
The People's Republic of China.
Commonwealth of Australia.
Any jurisdiction subject to comprehensive international sanctions (e.g., OFAC, EU, UN sanctions lists).
Any other jurisdiction where the distribution of crypto-linked payment instruments is restricted or prohibited by law.

Nothing contained in this document constitutes financial, legal, tax, or investment advice. You should consult your own professional advisors regarding your specific financial situation, tax implications, and legal eligibility before applying for or using the Card.
